Terms of Service

1. Acceptance of Terms

By installing, accessing, or using TierForge ("the App," "Service," "we," "our," or "us"), you ("Merchant," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the App.

2. Description of Service

TierForge provides bundle pricing functionality for Shopify stores, including:

• Creating bundle groups with tiered pricing (e.g., "Buy 2 for $7, 3 for $10")
• Automatic discount application at checkout via Shopify Functions
• Collection-based product management with automatic syncing
• Variant-level exclusion controls
• Analytics and reporting on bundle usage

3. Eligibility

To use TierForge, you must:

• Have an active Shopify store
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to bind your business to these terms
• Comply with Shopify's Terms of Service

4. Account and Access

4.1 Installation

TierForge is installed through the Shopify App Store. By installing the App, you authorize us to access your Shopify store data as described in our Privacy Policy.

4.2 API Access

The App requires certain Shopify API permissions to function:

• read_products, write_products: To manage bundle tags on products
• read_discounts, write_discounts: To create and manage bundle discounts
• read_orders: To track bundle usage analytics

5. Subscription and Billing

5.1 Plans and Pricing

TierForge offers the following plans:

• Free: 1 bundle group, 2 pricing tiers
• Basic ($4.99/month): 5 bundle groups, unlimited tiers
• Unlimited ($9.99/month): Unlimited bundle groups and tiers

5.2 Billing

All billing is processed through Shopify's billing system. Charges appear on your regular Shopify invoice. By subscribing to a paid plan, you authorize Shopify to charge your account.

5.3 Free Trials

Paid plans include a 7-day free trial. You will not be charged until the trial period ends. Cancel anytime during the trial to avoid charges.

5.4 Cancellation

You may cancel your subscription at any time through the App or Shopify admin. Upon cancellation:

• Your plan remains active until the end of the current billing period
• You will be downgraded to the Free plan features
• No refunds are provided for partial billing periods

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract the source code
• Interfere with or disrupt the App's functionality
• Use the App to transmit malicious code or content
• Resell, sublicense, or redistribute the App
• Use the App in a way that violates Shopify's Terms of Service

7. Intellectual Property

7.1 Our Rights

TierForge and all related intellectual property (including code, design, logos, and documentation) are owned by us. These Terms do not grant you any ownership rights.

7.2 Your Rights

You retain all rights to your store data, products, and content. You grant us a limited license to access and use your data solely to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF RESULTS

We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of profits, revenue, data, or business opportunities

These limitations apply regardless of the theory of liability (contract, tort, or otherwise).

10. Indemnification

You agree to indemnify and hold harmless TierForge and its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you provide

11. Third-Party Services

TierForge integrates with Shopify and relies on Shopify's platform. We are not responsible for:

• Shopify's availability, performance, or policies
• Changes to Shopify's APIs or platform
• Actions taken by Shopify regarding your store

12. Service Modifications

We reserve the right to:

• Modify or discontinue any feature of the Service
• Update pricing with reasonable notice
• Change these Terms at any time

Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

13. Termination

13.1 By You

You may uninstall the App at any time through Shopify. Upon uninstallation, your access ends immediately and your data is deleted within 48 hours.

13.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay applicable fees
• Use the Service in a way that harms us or other users

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TierForge regarding the Service and supersede all prior agreements.
